Terms & Conditions of Sale for Intropeks OU (trading as DriveUpTools)
1. Application of Terms
These terms and conditions ("Terms") apply to the sale of goods (including all garage jacks, jack stands and related equipment, the "Goods") by Intropeks OU ("Supplier", "we", "us") to business customers ("Customer", "you"). These Terms constitute the entire agreement between the parties.
2. The Goods
All Goods are described on our website or in our current catalogue/price list. Images are for illustrative purposes only. We reserve the right to amend the specification of the Goods if required.
3. Basis of Sale & Quotations
All orders are subject to acceptance by us, and we reserve the right to refuse any order. A quotation is valid for 30 days from its date, unless otherwise stated.
4. Price and Payment
Prices are as quoted on our website or in our current price list. Prices are exclusive of VAT and any applicable delivery charges. Payment terms are [Insert your terms, e.g., 30 days from the date of invoice] unless otherwise agreed in writing. Time for payment is of the essence.
5. Delivery
We will deliver the Goods to the location agreed at the time of order. Any dates quoted for delivery are approximate only. We shall not be liable for any delay in delivery caused by a Force Majeure event or the Customer's failure to provide adequate delivery instructions.
6. Risk and Title
Risk in the Goods shall pass to the Customer on completion of delivery. Title to the Goods shall not pass to the Customer until we have received payment in full (in cash or cleared funds) for the Goods.
7. Warranty and Liability
We warrant that the Goods will conform with their specification and be free from material defects for a period of 12 months from the date of delivery. This warranty does not apply to damage caused by misuse, negligence, or improper maintenance. Our total liability to the Customer shall not exceed the price of the Goods. We shall not be liable for any indirect or consequential loss.
8. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising from these Terms.
